THREADNEEDLE UKPEC II LP HOLDCO LIMITED

On 7 August 2020 Airport City (Manchester) Limited (“ACML”) sold part of its interest in the Airport City Limited Partnership (“ACLP”) to Threadneadle UKPEC II LP Holdco Limited comprising: (a) 499.50 of ACML’s Capital Contributions to ACLP; (b) 5/7ths of ACML’s outstanding Loan Commitment to ACLP; and (c) the transfer loans (being 5/7ths of the outstanding Loans advanced by ACML to ACLP in connection with which the following shares were also transferred from Airport City (Manchester) Investments Limited ("ACMIL") to Threadneedle UKPEC II Curtis Jersey LP (acting by its general partner, Sackville Property Curtis (Jersey GP) Limited: (d) 50 A ordinary shares in the capital of Airport City (General Partner) Limited; and (e) 50 A ordinary shares in the capital of Airport City (Asset Manager) Limited.
